Advance St. Louis

The Center for Emerging Technologies and Polsinelli Shughart present Advance St. Louis, a seminar series designed to assist entrepreneurs transitioning from startup to high growth stage. The interactive sessions will provide bioscience, medical, information technology and other advance technology entrepreneurs with the business acumen and hands-on knowledge necessary to take their early stage businesses to the next level. The programs target more experienced entrepreneurs and the service providers and professionals who assist them. Advance St. Louis is part of the entrepreneurial infrastructure necessary to build a sustainable and globally competitive bioscience and advanced technology cluster in the St. Louis Region.

Sessions for Advance St. Louis will be held at the Center for Emerging Technologies located at 4041 Forest Park Ave, St Louis, Missouri. Unless otherwise indicated the sessions will run from 2-5pm followed by a networking Happy Hour. April 3, 2013 Advanced Topics in Technology Patent Law
A panel of IP litigation and patent attorneys from diverse technology backgrounds will cover a range of advanced topics in patent law relating to cutting edge technologies including IT, medical devices and biotechnology. The program will cover the most recent case law developments impacting high-tech businesses, important changes to US patent law under the America Invents Act, and the impact of non-practicing entities on patent enforcement.

April 17, 2013 Board of Directors
Experienced board members, entrepreneurs, and legal and D&O insurance experts will gather to discuss common issues related to the boards of directors of startup and experienced companies. This program will include director selection and recruitment, director fiduciary duties and potential liability, director compensation, and best practices for a board of directors.

May 7, 2013 How to Successfully Structure and Complete a Friends and Family Financing Round
Entrepreneurial, legal and finance experts will present and discuss how to structure and implement a friends and family financing round. The session will include setting the terms of a friends and family financing, the pros and cons of debt vs. equity financing, valuation and pricing issues, early planning for subsequent financing rounds, strategies for reaching out to prospective investors, complying with securities law requirements, proper legal documentation and how to manage the financing process.

May 15, 2013 Dealing with University Technology Transfer Offices
Technology transfer professionals, entrepreneurs and legal advisors for startup companies will discuss how to work with the tech transfer offices of research institutions, including the opportunities and challenges in developing IP with, and licensing IP from universities. In addition, representatives of investors, corporate partners and acquirers will discuss the relationships created between the emerging company and the university.

June 5, 2013 Chief Financial Officer Roundtable
Financial, accounting and audit protocol experts will address concerns typical of Chief Financial Officers in the emerging technology segment. Discussion topics will include controlling cash burn, preparing the company’s financial statements, valuation issues in early and subsequent financing rounds, completing the company’s audit, tax issues affecting the company, and managing the ever-expanding role of the CFO.
